Corporate Law

Jonathan C. Goldstein advises clients on how to organize, structure, register and operate investment advisory firms and investment funds.  He advises clients on ongoing regulatory and compliance matters under the Investment Advisers Act of 1940 and the Investment Company Act of 1940.  He regularly advises independent directors of investment companies with respect to fiduciary responsibilities, conflicts of interest, director indemnification, directors and officers errors and omissions insurance.  In addition to representing registered investment companies and investment advisers, Mr. Goldstein has represented both domestic and offshore private equity and private hedge fund clients as well as placement agents for private hedge funds.

Construction Law

In addition to traditional corporate law, Mr. Goldstein advises general contractors, sub-contractors, building owners, homeowners and boards of buildings on various corporate and construction law matters as they relate the operation, maintenance, development and renovation of their property.  In addition to practicing law, Mr. Goldstein has owns and operated his own construction and property management businesses and regularly leverages his corporate law expertise to assist his clients in both simple and complex construction matters.
